TheNextBigWriter Credit Bank Terms and Conditions

 

1. PROGRAM OVERVIEW

TheNextBigWriter, LLC. ("TheNextBigWriter") allows certain reviewers who have accumulated posting credits through the reading and reviewing of writers on the site to sell their credits to the site’s Credit Bank. The bank will make available a limited number of credits for sale to writers who wish to purchase them. Writers and Reviewers can do this subject to the Credit Bank’s Operating Policies and any posted policies, guidelines or rules applicable to other TheNextBigWriter, LLC-owned or -operated services.

2. SELLING CREDITS TO THE CREDIT BANK

Reviewers who have received the designation of Certified Reviewer from the site may sell their credits to the Credit Bank in accordance with the terms set forth below. TheNextBigWriter reserves the right, at its sole discretion, to determine the purchase and sale price of these Credits and/or the expiration of TheNextBigWriter Credits. In addition, TheNextBigWriter, at its sole discretion, may adjust or delete TheNextBigWriter Credits from a Member’s account if TheNextBigWriter determines that any TheNextBigWriter Credits and/or cash compensation have been awarded mistakenly or inappropriately or if a Member violates this Agreement or any other TheNextBigWriter policy or agreement. TheNextBigWriter also retains full discretion to approve or decline in part or in full any purchase or sale of credits to or from TheNextBigWriter Credit Bank.

In addition:

1. US law required that the site have a valid W-9 on file for a participating Certified Reviewer before a payment can be made. Please complete an IRS Form W-9 and return it to TheNextBigWriter by mail P.O. 2. All credit sales will be reviewed by TheNextBigWriter and made at TheNextBigWriter’s sole discretion. TheNextBigWriter reserves the right to deny or delay payment to a Certified Reviewer for violating this agreement or any other TheNextBigWriter policy or agreement, or for the failure to deliver the necessary information reasonably requested by TheNextBigWriter.

3. THENEXTBIGWRITER PRIVACY POLICY

In order to sell credit Credits to the Credit Bank, TheNextBigWriter may need to collect certain personal information about you, including but not limited to your social security number. All of your personal information is subject to our Privacy Policy ("Privacy Policy"). As a condition of selling Credits, you agree to the terms of the Privacy Policy, as it may be changed from time to time. For more information, see our full Privacy Policy for further information.

4. PROCESSING OF CREDIT SALE COMPENSATION

At the end of each calendar quarter, TheNextBigWriter will process all credit sales and provide each qualifying member with their respective payment. TheNextBigWriter will utilize PayPal to make the payment and Certified Reviewers are required to have or to set up an operating PayPal account in order to receive the funds. TheNextBigWriter is not responsible for any problems arising between the qualifying member and PayPal. 

5. TAX CONSIDERATIONS

Members should be aware that TheNextBigWriter may issue Form 1099s to Members who will receive more than six hundred dollars ($600) in compensation for the sale of their credits. Please consult a tax expert for any tax-related questions regarding your TheNextBigWriter membership.

6. INTERRUPTION OF SERVICE

TheNextBigWriter will not be responsible for any interruptions in service or other technical problems resulting in lost Credits.

7. MISCELLANEOUS

1. Choice of Law; Jurisdiction. This Agreement, and any dispute arising from the relationship between the parties to this Agreement, shall be governed by and interpreted in accordance with the laws of the state of Massachusetts, USA, without regard to the conflicts of laws principals thereof. You consent to the exclusive jurisdiction in the state and/or federal courts located in Middlesex County, Massachusetts, in any dispute involving this Agreement.
2. Relationship of the Parties. TheNextBigWriter and Certified Reviewers are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Certified Reviewers will have no authority to make or accept any offers or representations on behalf of TheNextBigWriter. Certified Reviewers will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section.
3. Severability of Agreement. If any term or provision of this Agreement is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part thereof shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision or part thereof of this Agreement is stricken in accordance with the provisions of this section, then this stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.
4. Waiver. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or ay other provision of this Agreement. 
5. Headings. The headings in this Agreement are included for convenience only and shall neither affect the construction or interpretation of any provision in this Agreement nor affect any of the rights or obligations of the parties to this Agreement.
6. Assignment. Program Member shall not voluntarily or by operation of law assign, hypothecate, give, transfer, license, or otherwise transfer all or part of its rights, duties, or other interests in this Agreement (collectively, “Assignment’) without the written consent of TheNextBigWriter. Any attempt to make an Assignment in violation of this provision shall be a material default under this Agreement and any Assignment in violation of this provision shall be null and void. Notwithstanding the foregoing, this Agreement will be binding on, and inure to the benefit of, and be enforceable against the parties and their respective successors and assigns.
7. Entire Agreement. This Agreement represents the entire agreement between TheNextBigWriter and Certified Reviwers and supersedes all prior agreements and communications we may have had, oral and written regarding buying or selling credits via TheNextBigWriter Credit Bank.
